Important: By contacting us, you acknowledge that you have read and agree to these Terms. If you do not agree with any part of these Terms, please do not use our services. These Terms include binding arbitration and liability limitations that affect your legal rights.

Agreement Formation

Contract Formation & Legal Binding

Legal Notice: Once you sign our service contract or make a deposit payment, you enter into a legally binding agreement that includes all terms, limitations, and arbitration requirements outlined herein.

  2. Consultation: We discuss project requirements and provide initial quote
  3. Proposal Acceptance: Client accepts written proposal and these Terms
  4. Contract Signing: Formal service agreement is executed
  5. Deposit Payment: Contract becomes binding upon receipt of deposit

Legal Consequences of Contract Execution

Upon contract execution and deposit payment, you agree that:

  • CodeWithAli is NOT liable for any business consequences, losses, or damages resulting from our services
  • All disputes must be resolved through binding arbitration as outlined in these Terms
  • You waive your right to pursue legal action through courts except as specifically allowed herein
  • You assume full responsibility for all outcomes and consequences of the delivered services
  • All liability limitations and waivers become immediately effective and enforceable

Service Scope

All services are provided on a project basis according to the scope and specifications agreed upon in writing. Any additional work outside the original scope will be quoted separately and requires written approval (including email consent from designated point of contact). We make no guarantees regarding business outcomes, revenue generation, or market success of delivered projects.

Project timelines typically range from 2-12 weeks depending on complexity and client responsiveness.

  • Designate a single point of contact for the project

Technical Requirements

  • Provide access to hosting accounts, domains, and third-party services
  • Share login credentials for necessary platforms and tools
  • Make payments according to the agreed schedule
  • Test and approve functionality before final delivery

Important: Delays in client responses or provision of materials may result in project timeline extensions and potential additional fees for extended project management. Client assumes full responsibility for all business and legal consequences of the final delivered product.

Currency

All prices are quoted in USD unless otherwise specified. International clients may be subject to currency conversion fees.

Late Payment Policy

Payments not received within 30 days of the due date will incur a 1.5% monthly service charge. Projects may be suspended until payment is received. We reserve the right to pursue legal action for severely delinquent accounts. All legal fees and collection costs will be borne by the client.

Third-Party Components

Open Source Disclosure: Upon request, CodeWithAli will provide identification of open-source software components used in the project and links to their respective licenses.

Client-Provided Materials

Client warrants that all materials, content, images, and information provided for the project are either original work or properly licensed. Client indemnifies CodeWithAli against any claims of copyright or trademark infringement related to client-provided materials and agrees to defend and hold harmless CodeWithAli from any resulting legal actions or costs.

Revision Policy (No Refund Policy)

No Refunds: We do not offer refunds under any circumstances. Instead, we are committed to working with you through revisions and adjustments to ensure your complete satisfaction with the final deliverable. All payments are final and non-refundable.

If you're not happy with any aspect of the project, we will work tirelessly to address your concerns through additional revisions, adjustments, or alternative solutions. Our goal is to deliver a final product that exceeds your expectations and drives real business results. However, satisfaction does not entitle client to refunds - only to continued work until project meets agreed specifications.

Delivery Terms

Project Completion Definition: "Project completion" occurs when CodeWithAli delivers all agreed-upon features and functionality as specified in the project scope, or if client fails to provide feedback or approval within 10 business days after delivery notification, whichever comes first.

Project timelines are estimates based on normal circumstances and assume timely client feedback and material provision. Rush delivery may be available for an additional fee. CodeWithAli is not liable for any business losses due to delivery delays.

Comprehensive Liability Waiver

LIABILITY WAIVER: By signing our contract and engaging our services, you waive claims against CodeWithAli for consequences, damages, or losses resulting from our services, except for claims arising from our gross negligence, willful misconduct, or material breach of this Agreement.

Release of Claims

Client releases, waives, discharges, and holds harmless CodeWithAli from liability, claims, demands, actions, and causes of action arising out of or related to any loss, damage, or injury that may be sustained by Client or any third party in connection with our services, except for claims arising from CodeWithAli's gross negligence, willful misconduct, or material breach of this Agreement.

Specific Waived Claims Include:

  • Loss of business revenue or profits
  • Damage to business reputation or relationships
  • Website downtime or technical failures
  • Data loss or security breaches
  • SEO ranking losses or penalties
  • Third-party service failures or costs
  • Market performance of delivered solutions
  • Compliance issues with laws or regulations
  • Compatibility issues with other systems
  • Any economic or consequential damages

Scope of Waiver

This waiver applies to all claims, whether arising from contract, tort, negligence, strict liability, or any other legal theory. It covers all damages, whether direct, indirect, incidental, consequential, or punitive. The waiver extends to CodeWithAli's employees, contractors, and affiliates.

Client Assumption of Risk

Risk Acknowledgment: Client acknowledges and assumes all risks associated with website development, digital marketing, and online business operations. Technology projects inherently carry risks that client voluntarily accepts.

Risk Mitigation Responsibility

Client acknowledges that they are solely responsible for implementing appropriate risk mitigation strategies for their business. CodeWithAli provides development services only and makes no warranties about business outcomes or success. Client assumes full responsibility for backup strategies, security measures, and business continuity planning.

Client Indemnification Clause

Client Protection Obligation: Client agrees to defend, indemnify, and hold harmless CodeWithAli from any claims, lawsuits, or legal actions arising from the client's use of our services or the delivered work product.

Indemnification Scope

Client agrees to indemnify CodeWithAli against all claims, damages, costs, and expenses (including reasonable attorney fees) arising from or related to:

  • Client's use of the delivered website, application, or digital services
  • Content provided by client or placed on the delivered solution
  • Client's business operations or practices
  • Violation of any laws or regulations by client
  • Third-party claims against client related to the delivered work
  • Copyright or trademark infringement claims
  • Privacy law violations or data breaches on client's systems
  • Any modifications made by client or third parties to delivered work

This indemnification does not apply to claims arising from CodeWithAli's gross negligence, willful misconduct, or material breach of this Agreement.

Defense Obligation

Client agrees to provide immediate notice of any claims and to assume the defense of any lawsuits or legal proceedings. If client fails to defend, CodeWithAli may do so at client's expense. Client will reimburse all costs, including attorney fees, regardless of the outcome of any legal proceedings.

Mandatory Binding Arbitration

BINDING ARBITRATION: You waive your right to sue CodeWithAli in court. All disputes must be resolved through binding arbitration. You cannot participate in class action lawsuits against CodeWithAli.

Dispute Resolution Tiers

Small Claims: Disputes involving $5,000 or less may be filed in small claims court in Santa Clara County, California, at the filing party's option.

Arbitration: All other disputes must be resolved through binding arbitration under California arbitration law.

  • Arbitration will be conducted in Santa Clara County, California
  • Each party pays their own attorney fees unless otherwise awarded
  • Arbitration decision is final and binding with limited appeal rights

Fair Fee Allocation System

Initiating Party Responsibility: The party initiating arbitration proceedings pays all arbitration and administrative fees upfront to demonstrate good faith and prevent frivolous claims.

Fee Recovery for Legitimate Claims: If the initiating party substantially prevails (wins 75% or more of their claim), they may recover their arbitration fees from the losing party. This ensures legitimate disputes aren't financially penalized while deterring bad faith actions.

Anti-Abuse Protection
  • Frivolous Claim Penalties: If a claim is deemed frivolous or brought in bad faith, the initiating party pays all costs including CodeWithAli's attorney fees
  • Good Faith Requirement: All parties must engage in good faith dispute resolution and provide honest, complete information
  • Escalating Consequences: Repeat frivolous filers may be barred from future arbitration and required to use courts
CodeWithAli Protection

If CodeWithAli is forced to initiate arbitration due to client non-payment or breach of contract, client agrees to reimburse all arbitration costs and attorney fees regardless of outcome, as these disputes arise from client's failure to meet contractual obligations.

Class Action Waiver

Client waives the right to participate in any class action, collective action, or representative proceeding against CodeWithAli. All disputes must be brought individually. This arbitration clause survives termination of our relationship.

Limitations of Liability

Important Legal Notice: Please read this section carefully as it affects your legal rights and remedies.

Liability Limitation

CodeWithAli's liability for any claim related to our services is limited to the total amount paid for the specific project or service in question. Under no circumstances shall our liability exceed this amount, except for claims arising from our gross negligence, willful misconduct, or material breach of this Agreement.

Force Majeure

  • Pandemics or public health emergencies

Warranty Disclaimer

Our services are provided "as is" except for the express warranties in our revision policy. We disclaim all other warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

Governing Law & Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

  3. Binding Arbitration - Final resolution through arbitration under California law

Limited Court Jurisdiction

California state and federal courts in San Jose have jurisdiction only for:

  • Enforcing arbitration awards
  • Compelling arbitration if refused
  • Emergency injunctive relief to prevent irreparable harm
  • Collection of awarded damages

All substantive disputes must be resolved through arbitration as outlined above.

Severability & Enforceability

Severability Provision

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision will be modified to the minimum extent necessary to make it enforceable, and the remainder of these Terms will remain in full force and effect.

Savings Clause

The parties intend for these Terms to be enforced to the fullest extent permitted by law. If any limitation on liability, arbitration requirement, or other protective provision is deemed excessive, it shall be reduced to the maximum amount or scope permitted by law rather than being invalidated entirely.

Entire Agreement

These Terms constitute the complete and exclusive agreement between the parties and supersede all prior agreements, understandings, and representations. No modification is valid unless in writing and signed by CodeWithAli. Client's purchase orders or terms are hereby rejected and will not apply.
